PURSUANT TO THIS REWARDS AND LOYALTY POLICY (THE "REWARDS POLICY"), AXOLOT SP Z.O.O. (“AXOLOT,” “WE,” “OUR,” OR “US”) SHALL OFFER A REWARDS PROGRAM THAT PROVIDES ELIGIBLE USERS WITH BENEFITS IN CONNECTION WITH THEIR USE OF THE SERVICES. THIS REWARDS POLICY FORMS PART OF THE TERMS AND CONDITIONS AND SHALL BE GOVERNED ACCORDINGLY.
THIS REWARDS POLICY APPLIES TO YOU IN RESPECT OF YOUR USE OF ANY OF THE SERVICES. IF YOU DO NOT AGREE WITH THIS REWARDS POLICY, YOU SHOULD NOT SEEK TO USE THE SERVICES AND SHOULD TAKE NO FURTHER ACTION IN RESPECT OF THEM. PLEASE TAKE ALL NECESSARY LEGAL, FINANCIAL, AND TECHNICAL ADVICE BEFORE PROCEEDING.
PLEASE NOTE THAT NOTHING IN THIS REWARDS POLICY (AND NOTHING RELATED OR CONNECTED IN ANY OTHER MANNER WITH ANY OF THE SERVICES) AMOUNTS TO LEGAL, FINANCIAL, OR TECHNICAL ADVICE, A SOLICITATION, OR INVITATION TO CONTRIBUTE.
BY USING THE SERVICES OFFERED BY AXOLOT, YOU (“USER” OR “YOU”) AGREE TO BE LEGALLY BOUND BY THIS POLICY. IF YOU DO NOT AGREE WITH THIS POLICY, YOU SHOULD REFRAIN FROM USING THE SERVICES.
Definitions
In this Rewards Policy, the following terms shall have the meanings assigned to them below:

“Account” or “Axolot account” refer to any user account that may be created to access and use the Services, where applicable.

“Affiliates” refers to any person, corporation, partnership, or other entity that directly or indirectly controls, is controlled by, or is under common control with Axolot Sp Z.o.o. For the purposes of this definition, “control” means the ownership of more than 50% (fifty percent) of the voting securities or equity interests of an entity or the ability to direct the management or policies of such entity.

“Applicable Laws” refers to all laws, statutes, regulations, and governmental requirements applicable to the Users or the Services.

“Axolot” refers to Axolot Sp Z.o.o., a company incorporated under the laws of the Republic of Poland, with its registered address at Nowogrodzka str, nr. 31, lok. 413, 00-511, Warsaw, Poland, and its affiliates, responsible for providing Web3 Technologies to the Users (the “Services”).

“Crypto Cards” or “Cards” refers to the cards issued by Axolot that allow Users to perform USDT transactions across select regions. Users can replenish their Crypto Cards through the Xwallet and link them to payment platforms and technology services (such as Apple Pay or Google Pay). Each replenishment of the Card incurs a one-time commission fee of 3% (percent) of the replenishment amount (the “Fee”). This Fee is applied solely at the time of loading or adding funds to the Crypto Card and is calculated as a percentage of the total amount added funds.

“Program”, “Rewards Program” or “USDT Rewards Program” refers to a program implemented by Axolot which allows eligible Users to earn rewards based on the operations of the Reactor.

“Reactor” refers to the tool provided within the Services that may generate monthly returns based on the subscription package selected by the User.

“Redemption” refers to the process by which Users can exchange accumulated Rewards for benefits as described in this Rewards Policy.

“Rewards” refers to incentives provided by Axolot to eligible Users based on their use of the Services.

“Services” refers to the subscription-based Web3 technology services provided by Axolot, which include access to the Reactor, Crypto Cards, and Xwallet (together the “Hub” or the “Package”).

“USD” refers to the official currency of the United States of America.

“USDT” refers to the stablecoin pegged to and backed by the U.S. dollar and intended to maintain a value equivalent to one USD.

“User” refers to any individual or entity that subscribes to and uses the Services, and is legally bound by this Rewards Policy and the Axolot Terms and Conditions.

“Website” refers to the website of Axolot located at Axolot.

“Web3 Technology” refers to the next generation of the internet that leverages decentralized protocols, blockchain technology, and smart contracts to create a more user-centric online experience.

“Xwallet” refers to the non-custodial wallet offered by Axolot, allowing Users to manage their digital assets.
Participation in rewards and loyalty program

Eligibility
In order to participate in Axolot’s USDT Rewards Program, you must have an account and be subscribed to Axolot’s services.
The minimum amount required for participation in the Rewards Program is $70 (seventy US dollars).
Axolot reserves the right to disqualify any User from participation at its sole discretion for non-compliance or breach of this Rewards Policy.

Rewards Accumulation
USDT Rewards is a loyalty program created to encourage Users to utilize Axolot’s services for the storage of USDT.
Axolot retains the discretion to modify, suspend, or discontinue the USDT Rewards program at any time, providing reasonable prior notice to Users via e-mail or updates on the Axolot website.
The accumulation rate of USDT Rewards may vary depending on the User's selected subscription package, as well as any promotional events or campaigns conducted by Axolot. Axolot reserves the right to adjust reward accumulation metrics periodically to reflect changing market conditions or promotional requirements.
The availability and amount of USDT Rewards are contingent upon Axolot's ability to facilitate the necessary affiliate traffic essential for Reactor operations. This availability may fluctuate based on external factors, and Axolot shall provide updates as necessary.
The Reactor is a contractual agreement within the Axolot Website that grants Axolot the right to resell, purchase, or provide advertising traffic to Users. Through the Reactor, advertisers gain proportional rights to aggregated advertising placements sourced from various external platforms (EPs), affiliates, and partners. The Reactor facilitates the distribution and trading of advertising placement rights, enabling Axolot to efficiently deliver advertising traffic to Users. This structure is subject to modification to optimize traffic distribution based on market demand and platform requirements, and Axolot shall communicate any significant changes to Users accordingly.
Users acknowledge that the accrual, availability, and distribution of USDT Rewards are subject to Axolot’s operational capacity and market conditions. Any delays, interruptions, or adjustments in reward distribution will be communicated in advance when possible, although Axolot cannot guarantee uninterrupted accrual of rewards.

Use of Rewards
Accrued Rewards will be credited to Users’ Axolot accounts after the assets have remained in the Reactor pool for a minimum holding period of 1 (one) month. However, Axolot may extend the holding period by up to an additional 1 (one) month upon prior reasonable notice (including via e-mail) if deemed necessary due to operational requirements or unforeseen circumstances.
Users acknowledge that any unexpected delays, while rare, may occur due to factors outside of Axolot's control, including but not limited to technical disruptions or market events.
Axolot will not be liable for any delays caused by the extension of the holding period unless caused by gross negligence.

Withdrawal
You have the right to withdraw your assets from the Reactor pool once the minimum holding period of 1 (one) month has expired. The minimum holding period may be extended up to an additional 1 (one) month upon prior reasonable notice (including via e-mail) as deemed necessary by Axolot.
Risks, disclaimers and limitations of liability

Notwithstanding anything to the contrary contained in this Rewards Policy, Axolot shall not be liable to any person, whether in contract, tort (including pursuant to any cause of action alleging negligence), warranty or otherwise, for special, incidental, consequential, indirect, punitive or exemplary damages (including but not limited to lost data, lost profits or savings, loss of business or other economic loss) arising out of or related to this Rewards Policy, whether or not Axolot has been advised or knew of the possibility of such damages, and regardless of the nature of the cause of action or theory asserted.

Axolot’s liability for damages to each User shall in all cases be limited to, and under no circumstances shall exceed, Axolot’s service fees actually received by Axolot from such User.

The Services are being provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Axolot is not making, and hereby disclaims, any and all information, statements, omissions, representations and warranties, express or implied, written or oral, equitable, legal or statutory, in connection with the Services and the other matters contemplated by this Rewards Policy, including any representations or warranties of title, non-infringement, merchantability, usage, security, uptime, reliability, suitability or fitness for any particular purpose, workmanship or technical quality of any code or software used in or relating to the Services. User acknowledges and agrees that use of the Services is at the User’s own risk.

All information provided by or on behalf of Axolot is for informational purposes only and should not be construed as professional, accounting or legal advice. Users should not take or refrain from taking any action in reliance on any information contained in this Rewards Policy or provided by or on behalf of Axolot. Before Users make any financial, legal, or other decisions involving the Services, Users should seek independent professional advice from persons licensed and qualified in the area for which such advice would be appropriate.

Any claim or cause of action a User may have or acquire in connection with the Services or any of the other matters contemplated by this Rewards Policy shall survive for the shorter of, and may be brought against Axolot solely prior to: (a) the expiration of the statute of limitations applicable thereto; and (b) the date that is six months after the date on which the facts and circumstances giving rise to such claim or cause of action first arose.

References, links or referrals to or connections with or reliance on third-party resources, products, services or content, including smart contracts developed or operated by third parties, may be provided to Users in connection with the Services. In addition, third parties may offer promotions related to the Services. Axolot does not endorse or assume any responsibility for any activities of or resources, products, services, content or promotions owned, controlled, operated or sponsored by third parties. If Users access any such resources, products, services or content or participate in any such promotions, Users do so solely at their own risk. Each User hereby expressly waives and releases Axolot from all liability arising from User’s use of any such resources, products, services or content or participation in any such promotions. User further acknowledges and agrees that Axolot shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such resources, products, services, content or promotions from third parties.
Modifications to the rewards and loyalty policy
This Rewards Policy may only be amended, modified, altered or supplemented by or with the written consent of Axolot. Axolot reserves the right, in its sole and absolute discretion, to amend, modify, alter or supplement this Rewards Policy from time to time. The most current version of this Rewards Policy will be posted on Axolot’s Website. Any changes or modifications will be effective immediately upon the modified version being posted to Axolot’s Website. A User shall be responsible for reviewing and becoming familiar with any such modifications. A User hereby waive any right a User may have to receive specific notice of such changes or modifications. Continued participation in the Rewards Program following such modifications constitutes your acceptance of the changes.
Termination
Axolot reserves the right to cancel, suspend or terminate your participation in the Program without notice in the event of fraud, abuse of rewards privileges, violation of the Axolot Terms and Conditions or this Rewards Policy, or at our discretion.
Upon termination, any accumulated Rewards will be forfeited.
General terms
This Rewards Policy is governed by the same principles as outlined in Axolot’s Terms and Conditions, including governing law, limitations of liability, and dispute resolution procedures. For any disputes arising in connection with this Rewards Policy, please refer to Section 8 of the Terms and Conditions.
